Terms of Service

1. Agreement and Scope

These Terms of Service ("Terms") govern access to and use of Configuro (the "Service"), operated by Stackly Labs ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent ("you", "your account").

2. The Service

Configuro is a B2B product configurator and quoting tool. The Service facilitates your internal sales processes. We are not a party to any transactions, agreements, or disputes between you and your customers, nor do we take a commission on your sales.

3. Accounts, Billing, and Modifications

You are responsible for maintaining the security of your account credentials. Configuro offers paid plans billed in advance via Stripe.

• Cancellation: You may cancel at any time. Cancellation prevents future billing but does not retroactively refund the current period.
• Non-Payment: If payment fails, we may suspend your account or place it in a read-only state until resolved.
• Changes to Service/Pricing: We reserve the right to modify pricing or plan features. We will provide existing customers with at least 30 days' advance notice before any pricing changes affect their active subscriptions.

4. Data and Intellectual Property

You retain ownership of all product, pricing, and quote data you input into the Service. We process this data solely to provide the Service. We do not sell your data or use it to train proprietary AI models. If you utilize our AI-assisted features, relevant data is transmitted securely to our AI subprocessor strictly to generate your requested output. You are solely responsible for verifying the accuracy and real-world viability of the quotes and configurations generated by the Service.

5. Acceptable Use

You agree not to:

• Use the Service to store or transmit unlawful, infringing, or malicious content;
• Attempt unauthorized access to our infrastructure or other users' data;
• Use the Service to distribute spam or systematically scrape data;
• Reverse-engineer, clone, or resell the Service itself.

6. Disclaimers and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied. Limitation of Liability: To the maximum extent permitted by law, Stackly Labs' total cumulative liability for any claims relating to the Service shall be strictly limited to the total amount paid by you to us in the twelve (12) months immediately preceding the claim. We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, lost revenue, or lost data.

7. Termination

You may terminate this agreement at any time by cancelling your account. We reserve the right to suspend or terminate accounts for material breach of these Terms.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.
